Newstin Services Agreement

This is an agreement between you and Newstin a.s., Prague 4, Lomnickeho 9, postal code 140 00, Czech Republic, company ID number 63497956, registered with the Commercial Register in Municipal Court in Prague, Section B, Insert 5373 (“Newstin”). This agreement relates to services provided at www.newstin.com by Newstin (the “Newstin Services”).

By using the Newstin Services, you represent that you have read and understood and agree to comply with the terms and conditions of this agreement and all related documents, including, but not limited to, the Privacy Policy.

You may not use the Newstin Services if you do not agree with the terms and conditions of this agreement.

The Privacy Policy forms a separate part of this agreement.

Newstin Services

The Newstin Services provides you with a tool to search current news stories third parties publish on the internet and to reorganise the news into topical categories in order to help you to receive the most relevant and comprehensive results.

Use of the Newstin Services

  1. We grant you a licence to use the Newstin Services only for your personal use in the form as it is provided by Newstin. You may not copy, modify, or create derivative works of the Newstin Services without the written consent of Newstin. For example, you may not use the Newstin Services to increase traffic to your Web site, take the results from the Newstin Services and reformat and display them, mirror any portion of the results on your Web site, or use the Newstin Services as part of a "meta-search" offering. You also agree that you will not use any robot, spider, other automated device, or manual process to monitor or copy any content from the Newstin Services.
  2. The content delivered by the Newstin Services is provided in the form of a link and short text annotation. The Newstin Services are automatic and when you select a story in the relevant category, the link takes you to the original location that is under no control or ownership of Newstin and is governed by a separate licensing policy that you must observe and comply with. When the translation tool is available to you for a particular story, it is provided to you as an on-line application tool only, and you are solely responsible that your use of this tool is in compliance with all intellectual property rights applicable to the displayed content.

Limitation of liability and warranty

  1. The Newstin Services are provided for the informational purpose only. The use of the Newstin Services is solely at your own risk.
  2. The Newstin Services are provided as-is without any warranty. Newstin expressly disclaims all warranties of any kind, whether expressed or implied, including, but not limited to, the implied warranties of title, merchantability, suitability for a particular purpose and non-infringement. Newstin makes no representation or warranty that the Newstin Services will meet your requirements, will be uninterrupted, secure, current, or error-free, and that the search results will be accurate, timely, useful, or reliable.
  3. Any content obtained through the use of the Newstin Services is done at your own discretion and risk, and you will be solely responsible for any damage to computer systems or for loss of data, including any damage that results from the download or use of such materials. You will be solely responsible for obtaining at your own expenses all necessary licences and approvals to use the content obtained through the use of the Newstin Services.

Term and termination

  1. Newstin.com is provided for an indefinite period.
  2. Newstin reserves the right to restrict, suspend, or terminate your access to the Newstin Services in whole or in part, without any notice, with respect to any breach or threatened breach of this agreement. If this is the case, Newstin also reserves the right to refuse to provide you the Newstin Services in future.

Miscellaneous

  1. This agreement is available in English and Czech. This agreement is governed by Czech law. In the case of discrepancies between the English version and any other translation of this agreement, the English version prevails.
  2. If any provision of this agreement becomes invalid or unenforceable, this will have no effect on the validity of other provisions.
  3. We reserve the right to change this agreement and related document, including, but not limited to, the Privacy Policy, and ask you for your re-confirmation, which is a prerequisite to receive the Newstin Services. The most updated version of this agreement will be publicly accessible at http://www.newstin.com/info/terms_of_service. If you do not agree to the updated version of this agreement or any related document, you can terminate this agreement.
  4. You agree to hold harmless and indemnify Newstin, its employees, agents, and affiliates, from and against any third party claim arising from or in any way related to your use of the Newstin Services, including any liability or expense arising from all claims, losses, damage, suits, judgments, litigation costs and attorneys' fees, of every kind and nature. If this is the case, Newstin will provide you with a written notice of the claim, suit, or action.
  5. To the maximum extent permitted by applicable law, you release, and waive all claims against Newstin, its employees, agents, and affiliates, from any and all liability for claims, damage, costs, and expenses (including litigation costs and attorneys' fees) of every kind and nature, arising from or in any way related to your use of the Newstin Services.
